3.3. One Account Per User: Each user is permitted to maintain only one active account with PCIF.

You agree not to:

4.1. Use the Website in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Website, or that could damage, disable, overburden, or impair the functioning of the Website.

4.2. Use our Website to distribute, upload, or otherwise publish any content that:
a) Is defamatory, obscene, pornographic, abusive, or threatening
b) Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
c) Infringes on any proprietary rights of any party
d) Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware

4.3. Attempt to access any service or area of our Website that you are not authorized to access.

4.4. Use any automated system, including but not limited to robots, spiders, or offline readers, to access our Website.

4.5. Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide our services.

4.6. Share access credentials or allow others to use your account.

4.7. Use our Website or services for any illegal purpose, or in violation of any local, state, national, or international law.

4.8. Impersonate another person or entity, or falsify or delete author attributions, legal notices, or other appropriate notices.

You agree not to:

5.1. Course Materials: Students shall use the course materials and resources only for personal educational purposes and shall not reproduce, distribute, modify, or create derivative works of the materials without explicit written permission from PCIF.

5.2. Attendance and Participation: Students are expected to meet the attendance requirements specified for their enrolled courses.

5.3. Academic Integrity: Students must complete their own work and not engage in plagiarism, cheating, or any form of academic dishonesty.

5.4. Examination Conduct: Students must adhere to the examination rules and regulations as notified by PCIF from time to time.

6.1. Information Accuracy: Franchise applicants must provide accurate and complete information during the application process.

6.2. Brand Usage: Approved franchisees must adhere to PCIF’s brand guidelines and use PCIF’s intellectual property only as expressly permitted.

6.3. Operational Compliance: Franchisees must maintain the quality standards set by PCIF and operate in compliance with all applicable laws and regulations.

7.1. PCIF reserves the right to terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

7.2. Upon termination, your right to use the Website will immediately cease.

8.1. Violation of these Terms may result in, without limitation:

  • a) Temporary or permanent suspension of your account
  • b) Removal of your content from our Website
  • c) Restriction of your ability to interact with certain features
  • d) Legal action, if appropriate
  • e) Termination of franchise agreements (for franchisees)
  • f) Cancellation of course enrollment without refund (for students violating academic integrity)

8.2. PCIF reserves the right to report any potentially illegal activity to appropriate law enforcement officials or regulatory authorities.

 

PRIVACY AND DATA PROTECTION PROVISIONS

COURSE REGISTRATION, PAYMENT, AND REFUND POLICIES


 

1.1. Eligibility: To register for courses offered by Pranabananda Computer Institute Foundation (“PCIF”), you must:

  • a) Meet the specific prerequisite requirements for the selected course, if any
  • b) Be at least 15 years of age (applicants under 18 must provide parental/guardian consent)
  • c) Provide accurate and complete information during the registration process

1.2. Registration Process: Course registration can be completed through:

  • a) Online registration via the pcif.in website
  • b) In-person registration at any authorized PCIF center
  • c) Registration through authorized PCIF franchise locations

1.3. Registration Confirmation: Your registration is considered complete only when:

  • a) All required registration forms have been accurately completed and submitted
  • b) Applicable registration fees have been paid and acknowledged by PCIF
  • c) You have received an official confirmation from PCIF via email or SMS

1.4. Registration Deadlines: PCIF reserves the right to establish registration deadlines for each course. Late registrations may be accepted at PCIF’s discretion, subject to availability and possibly additional fees.

1.5. Batch Allocation: PCIF reserves the right to allocate students to specific batches based on capacity, timing preferences, and course requirements. While student preferences will be considered, PCIF cannot guarantee placement in a specific batch.

1.6. Course Materials: Upon successful registration and payment, students will receive:

  • a) Access to digital course materials through the PCIF learning portal
  • b) Physical course materials (if applicable) during the first class session
  • c) Login credentials for the PCIF student portal

2.1. Fee Structure:

  • a) Course fees are as specified on the pcif.in website or in the current fee brochure available at PCIF centers.
  • b) Published fees may exclude applicable taxes, which will be charged as per current government regulations.
  • c) PCIF reserves the right to modify fee structures for future courses without prior notice.

2.2. Payment Methods: PCIF accepts the following payment methods:

  • a) Online payment through the pcif.in website (credit/debit cards, net banking, UPI).
  • b) In-person payment at PCIF centers (cash, credit/debit cards, demand drafts).
  • c) NEFT/RTGS transfers to the designated PCIF bank account.
  • d) Payment through authorized PCIF franchisees (as per their accepted payment methods).

2.3. Payment Schedule:

  • a) Registration fees must be paid at the time of registration.
  • b) Course fees must be paid as per the schedule specified during registration.
  • c) For courses with installment options, each installment must be paid by its due date.
  • d) Late payment of installments may incur additional charges as specified in the fee structure.

2.4. Receipt of Payment: PCIF will issue an official receipt for all payments received. Students are advised to retain these receipts for their records.

2.5. Dishonored Payments: In case of dishonored payments (bounced checks, failed online transactions, etc.):

  • a) The student will be notified and required to make payment through an alternative method.
  • b) An administrative fee may be charged for each dishonored payment.
  • c) Repeated instances may result in revocation of installment payment privileges.

2.6. Overdue Payments:

  • a) Access to course materials and classes may be suspended if payments are overdue.
  • b) Certification may be withheld until all outstanding payments are settled.
  • c) PCIF reserves the right to charge interest on overdue amounts as permitted by law.

3.1. Cooling-Off Period:

  • a) Students may cancel their registration within 7 calendar days of registration (the “cooling-off period”).
  • b) If cancellation is requested within this period and before course commencement, a full refund will be issued minus an administrative fee of 5% of the course fee or ₹500, whichever is lower.

3.2. Cancellation Before Course Commencement:

  • a) If cancellation is requested after the cooling-off period but at least 14 days before course commencement, 75% of the paid amount will be refunded.
  • b) If cancellation is requested less than 14 days but at least 7 days before course commencement, 50% of the paid amount will be refunded.
  • c) If cancellation is requested less than 7 days before course commencement, 25% of the paid amount will be refunded.

3.3. Cancellation After Course Commencement:

  • a) If cancellation is requested within the first week of course commencement, 20% of the paid amount will be refunded.
  • b) No refunds will be provided for cancellations requested after the first week of course commencement.
  • c) In case of installment payments, the student remains liable for the entire course fee regardless of attendance unless otherwise agreed in writing.

3.4. Course Postponement by Student:

  • a) Students may request to postpone their enrollment to a later batch within 6 months of the original start date.
  • b) Postponement requests must be submitted in writing at least 7 days before course commencement.
  • c) A postponement fee of 10% of the course fee may apply.
  • d) Postponement is subject to batch availability and course continuation.

3.5. Course Cancellation by PCIF:

  • a) PCIF reserves the right to cancel or reschedule courses due to insufficient enrollment or other operational reasons.
  • b) In such cases, students will be offered the option to:
    • i. Transfer to another batch of the same course.
    • ii. Transfer to a different course (with adjustment of fees if applicable).
    • iii. Receive a full refund of all fees paid.

3.6. Refund Process:

  • a) All refund requests must be submitted in writing using the official PCIF Refund Request Form.
  • b) Refunds will be processed within 30 working days from the date of approved request.
  • c) Refunds will be made through the original payment method where possible.
  • d) For cash payments, refunds will be made via bank transfer to the student’s account.

3.7. Non-Refundable Fees:

  • a) Registration fees are non-refundable after the cooling-off period.
  • b) Examination fees paid to external certification bodies are subject to the refund policies of those organizations.
  • c) Cost of course materials that have been issued to the student is non-refundable.

3.8. Special Circumstances:

  • a) In case of serious illness, accident, or other extenuating circumstances preventing course completion, students may apply for a compassionate refund.
  • b) Such applications must be supported by appropriate documentation (medical certificates, etc.).
  • c) The decision to grant a compassionate refund and its amount is at PCIF’s discretion.

4.1. Course Transfers:

  • a) Students may request to transfer to a different course within 14 days of course commencement.
  • b) Transfer requests are subject to availability and meeting the prerequisites of the new course.
  • c) A transfer fee of ₹1,000 may apply.
  • d) Any difference in course fees must be paid before the transfer is processed.

4.2. Course Upgrades:

  • a) Students may upgrade to a more comprehensive course within the same subject area.
  • b) The full amount paid for the original course will be credited toward the upgraded course.
  • c) The difference in fees must be paid according to the payment schedule of the upgraded course.

5.1. Scholarship Eligibility:

  • a) PCIF may offer scholarships based on merit, need, or other criteria as determined periodically.
  • b) Scholarship recipients must maintain minimum attendance and performance standards to retain scholarship benefits.

5.2. Group Discounts:

  • a) Group registrations of three or more individuals may be eligible for discounted rates.
  • b) All individuals in the group must register for the same course and batch.
  • c) Group discounts cannot be combined with other promotional offers or scholarships.

5.3. Early Bird Discounts:

  • a) PCIF may offer early bird discounts for registrations completed before specified dates.
  • b) Early bird discounts will be clearly advertised on the website and promotional materials.
  • c) To qualify, full payment must be received before the early bird deadline.

5.4. Promotional Offers:

  • a) PCIF may run promotional offers with special pricing or additional benefits.
  • b) All promotional offers have defined validity periods and conditions.
  • c) PCIF reserves the right to withdraw promotional offers at any time.

6.1. Dispute Process:

  • a) Any dispute regarding payments or refunds must be submitted in writing to the Finance Department of PCIF.
  • b) Disputes must be raised within 30 days of the transaction in question.
  • c) All relevant documentation must be provided to support the dispute claim.

6.2. Resolution Timeline:

  • a) PCIF will acknowledge receipt of payment disputes within 3 working days.
  • b) PCIF will investigate and provide a decision on the dispute within 15 working days.
  • c) If more time is required for investigation, PCIF will notify the student and provide an expected resolution date.

6.3. Escalation Process:

  • a) If a student is dissatisfied with the resolution, they may escalate the matter to the PCIF Grievance Officer.
  • b) The Grievance Officer’s decision will be final and binding.
  • c) Legal jurisdiction for any payment disputes will be as specified in the Governing Law section of these Terms and Conditions.

 

FRANCHISE TERMS AND CONDITIONS


 

1.1. Independent Contractor Status: The relationship between Pranabananda Computer Institute Foundation (“PCIF”, “we”, “us”, or “our”) and the Franchisee is that of independent contractors. Nothing in these Terms or the Franchise Agreement shall be construed as creating an agency, partnership, joint venture, or employment relationship.

1.2. No Authority to Bind: Franchisee is not authorized to make any commitments or representations on behalf of PCIF except as expressly permitted in the Franchise Agreement or in writing by PCIF.

1.3. Legal Compliance: Franchisee shall comply with all applicable laws, rules, and regulations in the operation of the franchise, including but not limited to business licensing, tax requirements, labor laws, and educational regulations applicable in their jurisdiction.

2.1. Application Process:

  • Prospective franchisees must complete the official PCIF Franchise Application Form available on the pcif.in website or at authorized PCIF centers.

2.2. Eligibility Criteria:

  • a) Be at least 21 years of age.
  • b) Have a minimum educational qualification of graduation from a recognized university.
  • c) Have access to a commercial space suitable for operating a computer education center as per PCIF specifications.
  • d) Possess the financial capability to invest in the franchise setup.
  • e) Have a clean legal record with no pending criminal cases or bankruptcies.

2.3. Due Diligence:

  • PCIF reserves the right to conduct due diligence on all franchise applicants, including but not limited to:
    • a) Background checks.
    • b) Financial capability verification.
    • c) Verification of educational qualifications.
    • d) Inspection of proposed premises.

2.4. Approval Process:

  • a) Initial application review.
  • b) Personal interview with PCIF representatives.
  • c) Premises inspection and approval.
  • d) Final approval by the PCIF Franchise Committee.
  • e) Execution of the Franchise Agreement.

2.5. Application Fee:

  • A non-refundable application fee of ₹10,000 is payable at the time of submitting the Franchise Application. This fee covers the administrative costs of processing the application and conducting due diligence.

3.1. Initial Franchise Fee:

  • Upon approval, Franchisee shall pay an Initial Franchise Fee as specified in the Franchise Agreement. This fee grants the Franchisee the right to operate under the PCIF brand and access PCIF’s proprietary systems.

3.2. Royalty Fees:

  • Franchisee shall pay ongoing royalty fees to PCIF calculated as:
    • a) A percentage of the Franchisee’s Gross Revenue as defined in the Franchise Agreement, or
    • b) A fixed monthly fee as specified in the Franchise Agreement,
  • whichever is higher.

3.3. Marketing Contribution:

  • Franchisee shall contribute to the PCIF Marketing Fund at a rate specified in the Franchise Agreement, typically 2-5% of Gross Revenue, to support national advertising and marketing initiatives.

3.4. Technology Fee:

  • Franchisee shall pay a monthly technology fee for access to PCIF’s proprietary software systems, learning management system, and technical support.

3.5. Payment Terms:

  • All fees are payable as per the schedule specified in the Franchise Agreement. Late payments shall incur interest at 18% per annum or the maximum rate permitted by law, whichever is lower.

3.6. Taxes:

  • All fees are exclusive of applicable taxes. Franchisee is responsible for all taxes related to the franchise operation, including but not limited to GST, income tax, and local business taxes.

3.7. Audit Rights:

  • PCIF reserves the right to audit the Franchisee’s financial records upon reasonable notice to verify the accuracy of reported revenue and fee calculations.

4.1. Initial Training:

  • a) PCIF will provide initial training to the Franchisee and designated staff, covering:
    • i) PCIF curriculum and teaching methodologies.
    • ii) Student management systems.
    • iii) Marketing and student recruitment.
    • iv) Financial management and reporting.
    • v) Quality control procedures.

4.2. Ongoing Support:

  • a) PCIF will provide ongoing support to Franchisees, including:
    • i) Curriculum updates and new course development.
    • ii) Marketing materials and campaigns.
    • iii) Technical support for PCIF systems.
    • iv) Operational guidance and best practices.
    • v) Staff training for new courses.

4.3. Site Selection and Setup:

  • a) PCIF will provide guidance on:
    • i) Site selection criteria and evaluation.
    • ii) Center layout and design specifications.
    • iii) Equipment and infrastructure requirements.
    • iv) Branding implementation.

4.4. Quality Assurance:

  • a) PCIF will conduct periodic quality assurance inspections to ensure compliance with PCIF standards.
  • b) Franchisee shall cooperate fully with these inspections.

5.1. Facility Standards:

  • a) Franchisee shall maintain the premises in accordance with PCIF standards, including:
    • i) Minimum space requirements (typically 800-1200 sq. ft.).
    • ii) Computer lab specifications (minimum 15-20 computers).
    • iii) Classroom setup and furniture requirements.
    • iv) Reception and student counseling areas.
    • v) Branding and signage as per PCIF guidelines.
    • vi) Cleanliness and maintenance standards.

5.2. Staff Requirements:

  • a) Franchisee shall:
    • i) Employ qualified instructors with minimum qualifications as specified by PCIF.
    • ii) Maintain the required staff-to-student ratio for each course.
    • iii) Ensure all staff complete PCIF certification training.
    • iv) Maintain adequate administrative staff for center operations.

5.3. Curriculum and Teaching Standards:

  • a) Franchisee shall:
    • i) Offer only PCIF-approved courses using PCIF curriculum.
    • ii) Follow PCIF teaching methodologies and standards.
    • iii) Use only PCIF-approved course materials and resources.
    • iv) Administer assessments according to PCIF guidelines.
    • v) Issue only PCIF-authorized certificates to qualifying students.

5.4. Operating Hours:

  • a) Franchisee shall maintain minimum operating hours as specified in the Franchise Agreement, typically 9:00 AM to 6:00 PM, six days a week, with provisions for evening classes if required.

5.5. Student Records:

  • a) Franchisee shall maintain accurate and complete student records in the PCIF management system, including:
    • i) Enrollment information.
    • ii) Attendance records.
    • iii) Assessment results.
    • iv) Fee payments.
    • v) Certification details.

5.6. Business System Compliance:

  • a) Franchisee shall use PCIF’s proprietary business management systems for:
    • i) Student enrollment and management.
    • ii) Course scheduling.
    • iii) Financial tracking and reporting.
    • iv) Inventory management.
    • v) Assessment and certification processing.

6.1. Equipment Requirements:

  • a) Computers and hardware meeting PCIF’s minimum specifications.
  • b) Licensed software as specified by PCIF.
  • c) Internet connectivity with minimum bandwidth as specified.
  • d) Audio-visual equipment for classroom instruction.
  • e) Backup power systems to ensure uninterrupted operations.

6.2. Technology Upgrades:

  • Franchisee shall upgrade technology and equipment as reasonably required by PCIF to maintain quality standards and keep pace with industry developments.

6.3. Software Licenses:

  • Franchisee shall maintain valid licenses for all software used in the franchise operation and shall not use or permit the use of unauthorized or pirated software.

6.4. IT Security:

  • a) Student data and personally identifiable information.
  • b) PCIF proprietary information and systems.
  • c) Financial and operational data.

7.1. Local Marketing:

  • a) Invest a minimum of 5% of monthly revenue in local marketing efforts.
  • b) Use only PCIF-approved marketing materials and templates.
  • c) Submit all locally created marketing materials to PCIF for approval prior to use.
  • d) Participate in PCIF national marketing campaigns.

7.2. Digital Presence:

  • a) Not create independent websites for their PCIF franchise.
  • b) Be listed on the official PCIF website with center-specific information.
  • c) Follow PCIF guidelines for social media presence.
  • d) Not engage in pay-per-click advertising using PCIF trademarks without prior approval.

7.3. Student Recruitment:

  • a) Make false or misleading statements about courses or outcomes.
  • b) Guarantee employment or specific salary outcomes.
  • c) Disparage competitors or other educational institutions.
  • d) Offer unauthorized discounts or incentives.

7.4. Promotional Events:

  • a) Open houses.
  • b) Free workshops or seminars.
  • c) Career counseling sessions.
  • d) Participation in local educational fairs and events.

8.1. Defined Territory: Franchisee is granted rights to operate within a defined territory as specified in the Franchise Agreement.

8.2. Territorial Protection: PCIF will not establish another PCIF-owned or franchised center within the protected radius (typically 3-5 km) of the Franchisee’s location during the term of the agreement, subject to the Franchisee meeting minimum performance criteria.

8.3. No External Operations: Franchisee shall not operate, promote, or deliver PCIF courses outside their defined territory without prior written approval from PCIF.

8.4. Online Offerings: Territorial protection does not apply to PCIF’s online course offerings, which may be marketed and sold to students regardless of their location.

8.5. Corporate Programs: PCIF reserves the right to directly offer and deliver corporate training programs within the Franchisee’s territory, with potential revenue sharing arrangements as specified in the Franchise Agreement.

9.1. Initial Term: The initial term of the Franchise Agreement shall be five (5) years from the date of execution, unless otherwise specified.

9.2. Renewal: Subject to Franchisee’s good standing and compliance with the Agreement, Franchisee may apply for renewal for successive five-year terms by:

  • a) Providing written notice at least six (6) months before the expiration of the current term.
  • b) Paying the renewal fee as specified in the then-current Franchise Agreement.
  • c) Signing the then-current Franchise Agreement, which may contain different terms.
  • d) Upgrading facilities and equipment to meet current PCIF standards.

9.3. Termination by PCIF: PCIF may terminate the Franchise Agreement with immediate effect if Franchisee:

  • a) Abandons the franchise operation.
  • b) Is convicted of a felony or crime involving moral turpitude.
  • c) Makes unauthorized use of PCIF’s intellectual property.
  • d) Files for bankruptcy or becomes insolvent.
  • e) Repeatedly fails to comply with PCIF standards after written notice.
  • f) Fails to pay any amounts due to PCIF within 30 days of the due date.
  • g) Breaches any material provision of the Franchise Agreement.

9.4. Termination by Franchisee: Franchisee may terminate the Agreement if PCIF materially breaches its obligations and fails to cure such breach within 60 days after written notice.

9.5. Post-Termination Obligations: Upon termination or expiration, Franchisee shall:

  • a) Immediately cease using PCIF’s trademarks, trade names, and systems.
  • b) Remove all PCIF signage and branding from the premises.
  • c) Return all proprietary materials, including course content and manuals.
  • d) Transfer all student records to PCIF.
  • e) Comply with non-compete provisions as specified in the Agreement.

10.1. PCIF’s Right to Transfer: PCIF may transfer or assign its rights and obligations under the Franchise Agreement without Franchisee’s consent.

10.2. Franchisee’s Transfer Restrictions: Franchisee shall not sell, transfer, or assign the franchise without PCIF’s prior written consent, which shall not be unreasonably withheld if:

  • a) Franchisee is in good standing and not in default.
  • b) The proposed transferee meets PCIF’s then-current qualifications.
  • c) The transfer fee (typically 25% of the then-current initial franchise fee) is paid.
  • d) The transferee completes PCIF’s training program.
  • e) Franchisee has settled all outstanding obligations to PCIF.

10.3. Right of First Refusal: PCIF shall have a right of first refusal to acquire the franchise on the same terms as any bona fide offer received by Franchisee.

10.4. Death or Disability: In the event of Franchisee’s death or permanent disability, the franchise may be transferred to a qualifying heir or legal representative who meets PCIF’s requirements, subject to PCIF’s approval.

11.1. Negotiation: The parties shall attempt in good faith to resolve any dispute arising out of or relating to the Franchise Agreement through prompt negotiations between executives authorized to resolve such disputes

11.2. Mediation: If negotiation fails to resolve the dispute within 30 days, the parties shall attempt to settle the dispute by mediation under the rules of the Indian Council of Arbitration before resorting to arbitration or litigation.

11.3. Arbitration: Any dispute not resolved through negotiation or mediation shall be finally settled by arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in City, State by a sole arbitrator appointed by mutual agreement.

11.4. Governing Law: The Franchise Agreement and these Terms shall be governed by and construed in accordance with the laws of India.

11.5. Jurisdiction: Subject to the arbitration provisions, the courts at City, State shall have exclusive jurisdiction over any matter arising from or related to the Franchise Agreement.

11.6. Injunctive Relief: Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

12.1. In-Term Non-Competition: During the term of the Franchise Agreement, Franchisee shall not, directly or indirectly:

  • a) Operate, invest in, or be affiliated with any business competing with PCIF.
  • b) Divert or attempt to divert any PCIF business or customers.
  • c) Employ or seek to employ any person employed by PCIF or another PCIF franchisee.

12.2. Post-Term Non-Competition: For a period of two (2) years following termination or expiration of the Franchise Agreement, Franchisee shall not, directly or indirectly, own, operate, or be affiliated with any computer education business:

  • a) Within the former territory or within a 10 km radius of the former PCIF center.
  • b) Within a 10 km radius of any other PCIF center operating at the time of termination.

12.3. Confidentiality: Franchisee shall maintain the confidentiality of all PCIF proprietary information, including:

  • a) Curriculum and teaching methodologies.
  • b) Business systems and processes.
  • c) Student management systems.
  • d) Marketing strategies and materials.
  • e) Financial information and metrics.
  • f) Franchise network information.

12.4. Non-Disclosure Agreement: Franchisee and all staff with access to confidential information shall sign PCIF’s Non-Disclosure Agreement.

12.5. Enforcement: Franchisee acknowledges that a violation of these provisions would cause irreparable harm to PCIF and that PCIF shall be entitled to injunctive relief to prevent such violations.

13.1. Franchisee Representations: Franchisee represents and warrants that:

  • a) All information provided in the franchise application is accurate and complete.
  • b) Franchisee has the legal capacity and financial ability to enter into and perform the obligations under the Franchise Agreement.
  • c) Franchisee is not a party to any litigation or proceedings that could affect its ability to perform under the Agreement.
  • d) Franchisee has conducted independent investigation of the franchise opportunity.

13.2. No Guaranteed Success: PCIF expressly disclaims any representations about potential sales, profits, or success of the franchise. Franchisee acknowledges that success depends largely on Franchisee’s efforts and abilities.

13.3. Franchisee Acknowledgment: Franchisee acknowledges receipt of PCIF’s Franchise Disclosure Document at least 14 days prior to signing the Franchise Agreement or making any payment to PCIF.

14.1. Student Contracts: All student enrollment agreements shall be between the Franchisee and the student, with Franchisee clearly identified as an independently owned and operated franchisee of PCIF.

14.2. Student Protection: Franchisee shall comply with PCIF’s student protection policies, including:

  • a) Fair and transparent fee structures.
  • b) Clear course descriptions and outcomes.
  • c) Ethical counseling and enrollment practices.
  • d) Student grievance resolution procedures.
  • e) Appropriate refund policies.

14.3. Student Data Protection: Franchisee shall:

  • a) Comply with all applicable data protection laws.
  • b) Implement the security measures specified by PCIF.
  • c) Use student data only for authorized purposes.
  • d) Promptly report any data breaches to PCIF.

14.4. Service Quality: Franchisee shall maintain PCIF’s standards of service quality, including:

  • a) Instructor qualifications and performance.
  • b) Student-to-instructor ratios.
  • c) Facility cleanliness and functionality.
  • d) Timely response to student inquiries and concerns.
  • e) Regular collection and responsiveness to student feedback.

15.1. Amendments to Agreement: Any amendment to the Franchise Agreement must be in writing and signed by both parties.

15.2. System Modifications: PCIF reserves the right to modify the franchise system, including:

  • a) Curriculum and course offerings.
  • b) Operating standards and procedures.
  • c) Equipment and technology requirements.
  • d) Marketing strategies and materials.
  • e) Business management systems.

15.3. Notification of Changes: PCIF shall provide reasonable notice of system modifications through updates to the Operations Manual or written notifications.

15.4. Implementation Timeline: PCIF shall provide reasonable timelines for implementation of required changes, taking into account the nature and cost of such changes.

 

LIABILITY LIMITATIONS AND DISCLAIMERS


 

1.1. THE WEBSITE AND SERVICES PROVIDED BY PRANABANANDA COMPUTER INSTITUTE FOUNDATION (“PCIF”) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

1.2. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, PCIF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • a) IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  • b) NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.
  • c) THAT THE WEBSITE WILL MEET YOUR SPECIFIC REQUIREMENTS.

7.1. IF ANY PROVISION OF THESE TERMS IS FOUND TO BE UNENFORCEABLE OR INVALID UNDER ANY APPLICABLE LAW, SUCH UNENFORCEABILITY OR INVALIDITY SHALL NOT RENDER THESE TERMS UNENFORCEABLE OR INVALID AS A WHOLE, AND SUCH PROVISIONS SHALL BE DELETED WITHOUT AFFECTING THE REMAINING PROVISIONS HEREIN.

 

GOVERNING LAW AND DISPUTE RESOLUTION


 

1.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

1.2. The provisions of these Terms shall be interpreted in a manner that is consistent with applicable laws and regulations, including the Information Technology Act, 2000, and other relevant Indian laws.

2.1. Amicable Resolution: Any dispute arising out of or in connection with these Terms and Conditions shall first be attempted to be resolved amicably through negotiations between the parties.

2.2. Mediation: If the dispute cannot be resolved through negotiation within 30 days from the date on which either party has served written notice on the other of the dispute, then either party may refer the dispute for mediation.

2.3. Arbitration: If the dispute cannot be resolved through mediation within 60 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, which provisions are deemed to be incorporated by reference into this clause.

2.4. Arbitration Proceedings: The arbitration shall be conducted as follows:

  • a) The arbitration tribunal shall consist of a sole arbitrator appointed by mutual agreement of the parties.
  • b) The place of arbitration shall be City, India.
  • c) The language of the arbitration shall be English.

2.5. Injunctive Relief: Notwithstanding the foregoing, PCIF shall be entitled to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights and confidential information.

2.6. Jurisdiction: Subject to the above, the courts in City, India shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

1.1. PCIF reserves the right to modify, amend, or update these Terms and Conditions at any time at its sole discretion.
